Agreed terms
1. Purpose and non-exclusivity. RoamWise may present and distribute approved property inventory. The property remains independently owned and may sell directly or through other channels. Neither party guarantees booking volume.
2. Approval before publication. An application is not a live listing. RoamWise may publish only after confirming the authorised contact, public property identity and location, rooms, guest occupancy, current rates, mandatory charges, amenities, cancellation terms, media permissions, response channel and payout readiness.
3. One booking economics method. Each rate plan uses either the selected commission plan above or a confidential protected net rate recorded in the schedule. RoamWise will not add commission to a booking that already uses the protected net-rate method.
4. Plans and commission. Partner Free uses 7%. Partner Desk, Partner Annual and Partner 3 Year use 5% while the paid plan is active. A lapsed paid plan moves future eligible bookings to Partner Free after notice. Existing confirmed bookings retain their recorded commercial terms.
5. Pricing and disclosure. Guest-facing prices must show mandatory charges and statutory taxes before payment. RoamWise may compare like-for-like public totals using the same dates, occupancy, room, meals and cancellation flexibility. A cheaper public rate starts a review; it is not automatically a breach. Neither party must sell below a sustainable agreed amount.
6. Availability and confirmation. A guest request is not confirmed until the property accepts the dates, room, occupancy, all-in total and cancellation terms. The property should respond within the service level recorded below. RoamWise may pause inventory when availability or response quality is unreliable.
7. Payment sequence. Online payment remains locked until property confirmation unless verified instant inventory is later enabled. After confirmation, the guest receives the authorised Cashfree checkout, UPI option, secure property link or pay-at-property instruction. A client screenshot or spoken claim is not proof of payment; the payment-provider status or verified property receipt controls.
8. Split settlements. Automatic split settlement may be used only after Cashfree Easy Split or another approved marketplace settlement product is activated and the property completes the provider's KYC and vendor requirements. Until then, the selected direct-payment or RoamWise settlement process in the schedule controls.
9. Cancellation, refund and no-show. The property policy shown before payment controls, subject to law and the payment provider's rules. RoamWise records approved refunds and chargebacks in settlement. No booking commission is due on cancelled, no-show or fully refunded stays. A partial refund reduces the commission base to the completed and retained accommodation value.
10. Property responsibilities. The property keeps inventory, rates, blackout dates, occupancy, amenities and policies accurate; honours confirmed bookings; communicates material changes; provides a safe and lawful stay; and maintains the licences, registrations, insurance, guest-ID procedures and tax records required for its operations.
11. RoamWise responsibilities. RoamWise maintains the approved listing and request flow, displays material booking terms, records guest and property status changes, protects access to non-public commercial data, and supplies booking and settlement information reasonably needed for reconciliation.
12. Content permission. The property grants RoamWise a non-exclusive, revocable licence during the relationship to host, crop, resize and display approved names, logos, photographs, videos, descriptions and factual information on RoamWise channels and booking communications. The rights holder retains ownership.
13. Marketing permission. RoamWise may use approved property content for organic marketing. Paid advertising, creator stays, discounts, barter, giveaways or cash campaigns require separate written approval of scope, dates, value and responsibilities.
14. Guest data and confidentiality. Each party may use guest and partner data only to operate the booking, support the traveller, comply with law and reconcile payment. Confidential rates, personal data and operational records must not be published. Public forms must never collect passwords, card credentials or gateway secrets.
15. Taxes and withholding. Each party is responsible for taxes on its own supply. The schedule must record the property's legal and registration status before live payment. Statutory GST, TCS, TDS, withholding or marketplace obligations are shown separately and may change when law or transaction structure changes.
16. Quality, complaints and safety. RoamWise may investigate material complaints and pause or delist inventory for safety risk, fraud, misleading content, hidden charges, repeated non-response or refusal to honour confirmed terms. Both parties preserve relevant records while a dispute is reviewed.
17. Settlement and records. Statements should separately show booking value, taxes, commission or net-rate economics, payment fees, refunds, withholding and the amount payable. The settlement cycle in the signed schedule controls.
18. Term and termination. Either party may stop future distribution on 15 days' written notice. RoamWise may pause immediately for credible safety, fraud or legal concerns. Confirmed stays, refunds, chargebacks, tax and settlement duties survive until resolved.
19. Liability and force majeure. Each party remains responsible for its own acts, staff, systems and legal duties. Neither party is liable for delay caused by events beyond reasonable control, but it must promptly communicate and reasonably protect affected guests.
20. Governing framework. Indian law applies to this India property pilot, subject to mandatory consumer and local rights. The parties will first try good-faith written resolution. Courts with jurisdiction over RoamWise's registered office apply unless the signed schedule states another lawful venue.
21. Entire pilot record. This V4 MOU, the property-specific schedule and later written booking or compliance addenda form the pilot record. If they conflict, the more specific later signed schedule controls only for that property and subject.
